Welcome to Verbo (“the App”), a video and audio journaling mobile application created and operated by Chronix Inc., a corporation based in Ontario, Canada (“the Company,” “we,” “us,” or “our”). By downloading, installing, accessing, or using Verbo, you (“you,” “user,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the App.

We reserve the right to update or modify these Terms at any time, and such changes will be effective upon posting to the App or a related website. Your continued use of Verbo after any such changes constitutes your acceptance of the revised Terms.

1. Use of the App

1.1 Eligibility

  • Verbo is a video and audio journaling app available to users of all ages.
  • By using the App, you represent and warrant that you are capable of entering into this agreement or have the consent of a parent or guardian, if applicable.

1.2 User Accounts

  • You may create an account on Verbo to access features such as recording, saving, and organizing your video and audio journal entries.
  • You are responsible for:
    • Maintaining the confidentiality of your account credentials (e.g., username and password).
    • All activities that occur under your account.
  • You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account.
  • We reserve the right to suspend or terminate your account at our discretion, with or without notice, if we believe these Terms have been violated.

2. User-Generated Content

2.1 Content Creation and Upload

  • Verbo allows you to create and upload video, audio, and text journal entries (“User Content”).
  • Your Ownership and Control: You retain full ownership of your User Content. We do not claim any ownership over your journal entries, videos, or audio recordings. You have complete control to delete, erase, or download your User Content at any time through the App.
  • By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and encrypt your content solely for the purpose of operating, maintaining, and improving the App.

2.2 Responsibility for User Content

  • You are solely responsible for the User Content you create or upload.
  • You represent and warrant that:
    • You own or have the necessary rights to upload the User Content.
    • Your User Content does not violate any applicable laws, regulations, or third-party rights (e.g., copyright, trademark, privacy).
    • Your User Content is not obscene, defamatory, offensive, or otherwise inappropriate.
  • We reserve the right (but not the obligation) to review, remove, or restrict access to any User Content that violates these Terms, at our sole discretion.

2.3 Data Privacy and Security

  • Encryption and Storage: All User Content, including video and audio journal entries, is encrypted and stored securely using industry-standard encryption methods to protect your privacy.
  • No Third-Party Sharing: We do not share your video, audio, or text journal entries with any third parties, except as required by law or with your explicit consent.
  • Data Deletion: You may delete your User Content at any time, and upon deletion, it will be permanently removed from our servers within a reasonable timeframe, subject to any legal obligations.

2.4 Copyright Infringement Notices

  • If you believe that any User Content infringes your copyright, send a notice of infringement to [email protected].
  • Your notice should comply with the Digital Millennium Copyright Act (DMCA) or applicable Canadian copyright law, including:
    • A description of the copyrighted work.
    • A description of the infringing material and its location on the App.
    • Your contact information.
    • A statement of good faith belief that the use is unauthorized.
    • A statement under penalty of perjury that the information is accurate.

3. In-App Purchases and Subscriptions

3.1 In-App Purchases

  • Verbo offers in-app purchases for additional features, such as premium recording tools, editing options, or storage upgrades.
  • All purchases are final and non-refundable, except as required by applicable law or at our sole discretion.

3.2 Subscription Plans

  • Subscription plans provide access to premium features of the App.
  • Subscription fees will be charged to your payment method on a recurring basis (e.g., monthly or annually) as specified at the time of purchase.
  • You authorize us to charge your payment method automatically until you cancel your subscription.

3.3 Cancellation

  • You may cancel your subscription at any time through your account settings or by contacting us at [email protected].
  • Cancellation will take effect at the end of the current billing cycle, and no refunds will be provided for the unused portion of the subscription period.

4. Intellectual Property

4.1 Our Content

  • All content provided on Verbo, including logos, visual designs, trademarks, text, and software (“Our Content”), is the exclusive property of Chronix Inc. or is licensed to us.
  • You may not copy, reproduce, distribute, or create derivative works of Our Content without prior written consent.

4.2 Trademarks

  • “Verbo” and associated logos are trademarks owned by Chronix Inc.
  • You may not use these trademarks without our express permission.

5. Data Security and Backups

  • Security Commitment: We implement robust technical and organizational measures to safeguard your User Content, including encryption in transit and at rest.
  • Backups: We may create encrypted backups of your User Content to ensure data recovery in case of technical issues. These backups are subject to the same privacy and security protections as your primary data.
  • No Liability for Loss: While we take reasonable steps to protect your data, we are not liable for any loss of User Content due to unforeseen circumstances (e.g., hardware failure, cyberattacks), except as required by law.

6. Feedback and Suggestions

  • If you provide us with feedback, suggestions, or ideas about Verbo (“Feedback”), you grant us an unlimited, royalty-free, perpetual, and irrevocable right to use, implement, and incorporate such Feedback into the App without compensation or attribution to you.

7. Promotions, Contests, and Sweepstakes

  • From time to time, we may offer promotions, contests, or sweepstakes through Verbo.
  • Participation in such events is subject to additional rules, which will be provided at the time of the event.
  • We reserve the right to modify or cancel any promotion at our discretion.

8. Prohibited Conduct

  • You agree not to:
    • Use Verbo for any unlawful or unauthorized purpose.
    • Interfere with or disrupt the App’s functionality, servers, or networks.
    • Attempt to gain unauthorized access to any part of the App, user accounts, or encrypted data.
    • Upload viruses, malware, or other harmful code.
    • Engage in harassment, abuse, or any behavior that violates the rights of others.
    • Attempt to decrypt, reverse-engineer, or otherwise circumvent the App’s security measures.

9. Termination

  • We may terminate or suspend your access to Verbo at any time, with or without cause or notice, including if we believe you have violated these Terms or posed a security risk.
  • Upon termination:
    • Your account and right to use the App will cease immediately.
    • Your User Content may be deleted from our servers, subject to applicable law.
  • You may terminate your account at any time by deleting it through the App, which will also initiate the deletion of your User Content.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer

  • Verbo is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that the App will be uninterrupted, error-free, or immune to security breaches beyond our control.

10.2 Limitation of Liability

  • To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of Verbo, including but not limited to loss of data, profits, or emotional distress.
  • Our total liability to you shall not exceed the amount you paid to us in the preceding 12 months, or CAD $100, whichever is greater.

11. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Province of Ontario, Canada, and applicable federal laws of Canada, without regard to conflict of law principles.
  • Any disputes arising from these Terms or your use of Verbo shall be resolved exclusively in the courts of Ontario, Canada.

12. Privacy Compliance

  • We comply with applicable privacy laws, including Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).
